Terms of Service

1. Acceptance of Terms

By accessing or using LYNKUP ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. The Platform

LYNKUP is a marketplace that connects users offering and seeking products and services in South Africa. We are not a party to any transaction between users; we do not own, inspect, or endorse listings, and we do not provide the products or services listed.

3. User Conduct

You agree not to:

• Post any listing or content that is illegal, fraudulent, misleading, or infringes any third-party rights.
• List prohibited or restricted goods (firearms, drugs, counterfeit items, stolen property, endangered species, or anything unlawful under South African law).
• Harass, threaten, defame, or discriminate against any other user.
• Impersonate any person, business, or entity, or misrepresent your affiliation.
• Use the Platform to send spam, malware, or unsolicited commercial communications.
• Attempt to gain unauthorised access to accounts, systems, or data, or interfere with the Platform's operation.
• Circumvent fees, scrape data, or use automated systems without our written permission.

We may suspend or terminate accounts that breach these rules, without notice.

4. Listings and Transactions

You are solely responsible for the accuracy of your listings, the legality of what you offer, the fulfilment of any transaction, and any applicable taxes. Meetings, payments, and deliveries between users happen at your own risk.

5. Liability Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

To the maximum extent permitted by law, LYNKUP, its owners, directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of, or inability to use, the Platform.
• Any conduct, content, product, or service of any other user or third party.
• Any transaction, dispute, injury, loss, theft, or fraud arising between users.
• Unauthorised access to your account or data.

Nothing in these Terms excludes liability that cannot be excluded under the Consumer Protection Act, 2008 or other applicable South African law.

6. Content You Post

You retain ownership of content you post but grant LYNKUP a non-exclusive, royalty-free, worldwide licence to host, display, and distribute that content on the Platform for the purpose of operating the service.

7. Dispute Resolution

If a dispute arises between you and LYNKUP, you agree to first contact us in writing and attempt to resolve the matter informally within 30 days.

If the dispute is not resolved, it shall be referred to confidential mediation, and failing resolution, to arbitration in Johannesburg under the rules of the Arbitration Foundation of Southern Africa (AFSA) by a single arbitrator. The arbitration award shall be final and binding. Nothing prevents either party from seeking urgent interim relief from a competent court.

These Terms are governed by the laws of the Republic of South Africa, and the courts of South Africa have exclusive jurisdiction subject to the arbitration clause above.

8. Changes to these Terms

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
